ROBERT G. ADAMS
CHAIRMAN OF THE BOARD
Mr. Adams is the founder and currently serves as the Chairman of the Board of Directors of the Company.
He previously served as President and Chief Executive Officer from April 1987 to September 2000, when he
became Vice Chairman of the Board of Directors. He is a member of the Board of Directors of the Employer
Services Assurance Corporation (ESAC), the industry's self-regulating accreditation organization and is a
member of the Board of Directors for the National Association of Professional Employer Organizations (NAPEO).
He also serves as a member of the NAPEO Executive Committee and Chairman of the NAPEO Public Relations
Committee. As an industry pioneer, he has been active in the development and formalization of the PEO
industry. He has previously served as a member of the Board of Directors of the NAPEO as well as serving
two terms as the President of the regional chapter. Mr. Adams is a frequent presenter at industry events
and is involved in regulatory and legislative issues on state and national levels. Mr. Adams holds a B.S.

DIRECTOR
Mr. Keegan joined Adams Keegan in May of 1997 and currently serves as President, Chief Executive Officer
and Director. He previously served as Chief Operating Officer, Chief Financial Officer and Vice President of
Sales. He was appointed to a four year term on the Employee Leasing Advisory Board by the governor of Tennessee.
He is a director of The James Group, LLC and Staff Line, LLC. Mr. Keegan's civic involvement includes membership
in St. Jude Children's Research Hospital's Memphis Club, director of EmergeMemphis, director of The Navy League
of Memphis and Leadership Memphis class of 2006. Mr. Keegan holds a B.A. degree from the University of Colorado
and an M.B.A. from the Kenan-Flagler Business School at the University of North Carolina at Chapel Hill.JAMES F. KEEGAN
DIRECTOR
Mr. Keegan is a private investor and has been involved in a number of mezzanine and mid-stage financing of young
companies over the last 20 years. He currently is serving on the Board of Directors of Adams Keegan, Inc.
He was a co-founder of Morgan Keegan & Company, Inc., and served as President and COO until his retirement in
1985. He has served as Chairman of the Board of Governors of the National Association of Securities Dealers
(NASD) and as Chairman of the Board of Directors of NASDAQ, Inc. Mr. Keegan served as a Director of
AutoZone, Inc. from 1991 through 2004. He currently serves on the Board of Directors of The Memphis
Incubator System, Inc. (Emerge Memphis), The Regional Medical Center at Memphis Foundation and on the Advisory
Board of Wunderlich Securities, Inc. Mr. Keegan holds a Bachelor of Science degree from The United States
Military Academy, West Point, NY.
L.R. JALENAK, JR.
DIRECTOR
Mr. Jalenak has served as a Director for Adams Keegan since 1997 and as the Chairman of the Compensation Committee.
Mr. Jalenak retired on December 31, 1993 as Chairman and former President and CEO of Cleo, Inc., the world's largest
manufacturer of Christmas wrap and accessory items. In addition, he is a retired board member of Perrigo Company, Lufkin
Industries, Dyersburg Corporation, Charter Bancshares and First Funds. He continues to serve as a member of the board of
directors for Party City Corporation, the largest chain retailer of party products in the United States. He is a
member of the board of commissioners of the Memphis Light, Gas and Water Division and chairman of its pension committee.
Mr. Jalenak also is involved as a Director for the Memphis Arts Council and previously served on the board of directors
of many local and national civic and religious organizations. Mr. Jalenak received his B.B.A. from Tulane University and
his M.B.A. from the Wharton School of Business at the University of Pennsylvania.JON K. THOMPSON
DIRECTOR
Mr. Thompson is the owner of Columbine Holdings. He has served as a Director for the Company since 1997 and is a member
of the Compensation and Executive Committees. He was formerly the President of Taylor Machinery Company. He is a Director
for Econotech, Inc. as well as a Director for the National Defense University Foundation and The Memphis Airport Authority.
Mr. Thompson is a graduate of the United States Military Academy at West Point and holds a Master's Degree in Aerospace
Engineering from the University of Texas.JAMES B. CROSS
DIRECTOR
Mr. Cross is one of the original shareholders in the Company and has served as a Director since 1987. He is a member of the
Audit Committee and serves as Chairman of the Compensation Committee. Mr. Cross is the President of First Commerce Leasing
of Memphis and is actively involved in the growth and development of the equipment leasing industry. Mr. Cross holds a B.S.
degree in Economics from the University of Memphis, and participated in advanced studies at The Wharton School of Business
in Financial Management, Northwestern University in Mortgage Banking and the University of Wisconsin in Lease Financing. CALDWELL (COLLIE) D. LOWRANCE, JR.
DIRECTOR
Mr. Lowrance is EVP of Business Development & General Counsel of Floratine Biosciences, Inc. (FBS). Mr. Lowrance
was Managing Director of Investment Banking and General Counsel for Wunderlich Securities. Prior to that he was
a partner at the Bass, Berry & Sims law firm. During his 15 years of practicing law and investment banking,
Mr. Lowrance worked in various areas such as mergers and acquisitions, leveraged buy-outs, joint ventures,
re-capitalizations, equity and debt financings (including venture capital and private equity fund financing and
private and public offerings), corporate and tax planning, and transaction negotiation and structuring.
Mr. Lowrance holds a B.A. in Economics from the University of North Carolina at Chapel Hill, a J.D. from Tulane
University School of Law, and a L.L.M. in Taxation from the Southern Methodist University Dedman School of Law.
Mr. Lowrance is licensed to practice law in Tennessee and Arkansas. He is a director for Floratine
Biosciences, Inc., and a former director for H20 Inc. and the Children’s Museum of Memphis. |
